Terms of Use

The rules for using the LeadAdvisors Portal — accounts, acceptable use, IP, liability.

These Terms of Use ("Terms") govern access to and use of the LeadAdvisors Portal at apps.leadadvisors.com and the public careers site at leadadvisors.com/careers (together, the "Portal"). By using the Portal you agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent you have authority to bind that entity.

1. Who can use the Portal

The Portal is available to:

  • Visitors — anyone browsing public pages.
  • Applicants — individuals 18 years or older who apply for a contractor opportunity.
  • Independent contractors — engaged contractors using the staff portal under a separate engagement agreement.
  • LeadAdvisors administrators — internal admin, HR, recruiter, and super-admin users.

Applying or being invited to the Portal does not create an employment relationship. Roles listed are 1099-style independent contractor engagements. Nothing in the Portal guarantees an engagement, a specific rate, or a minimum number of hours.

2. Your account

You are responsible for:

  • The accuracy of the information you submit.
  • Keeping your credentials confidential.
  • All activity under your account until you tell us it is compromised.

Notify us immediately at legal@leadadvisors.net if you suspect unauthorized access.

3. Acceptable use

You agree not to:

  1. Use the Portal for anything other than legitimate applicant, contractor, or administrative purposes.
  2. Attempt to access another user's account or data, scrape, or reverse-engineer the Portal.
  3. Upload malicious code, attempt to disrupt service, or test our security without prior written authorization.
  4. Submit content that is unlawful, defamatory, infringing, harassing, or that misrepresents your identity or qualifications.
  5. Use automated tools (bots, scripts) to apply for roles or interact with assessments.
  6. Circumvent rate limits, anti-fraud controls, or assessment anti-cheat protections.

We may suspend or terminate access for violations.

4. Submissions

When you submit information (resume, cover note, assessment answers, payout details, profile updates):

  • You confirm it is accurate and that you have the right to share it.
  • You grant LeadAdvisors a worldwide, royalty-free, non-exclusive license to use that information for the purposes described in the Privacy Policy — namely to evaluate your application, manage your engagement, run the Portal, and meet legal obligations.
  • You retain ownership of your underlying personal information.

5. Intellectual property

The Portal — including code, design, brand marks, and content authored by LeadAdvisors — is owned by LeadAdvisors or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Portal as intended. We reserve all other rights.

You may not copy, modify, redistribute, or create derivative works of the Portal except with our written permission, or where mandatory law allows.

6. Third-party services

The Portal integrates with third-party services (for example, the sub-processors listed in our Privacy Policy §6). Your use of those services is governed by their own terms. We are not responsible for third-party content or services that we do not control.

7. Assessments and pre-hire screening

Pre-hire assessments are described in the Assessment consent. You agree to complete assessments honestly and to not seek or share answers. We may invalidate an attempt that triggers our anti-cheat heuristics.

8. Background checks

If a role requires a background check, we will provide the disclosure described in Background check notice and will obtain your written authorization before running any check.

9. No warranty

The Portal is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Portal will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Portal is free of viruses or other harmful components.

Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, this disclaimer applies only to the extent permitted.

10. Limitation of liability

To the maximum extent permitted by law:

  • LeadAdvisors and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Portal — even if advised of the possibility.
  • Our total cumulative liability for any claim arising out of or relating to these Terms or the Portal is limited to the greater of (a) the amounts actually paid by us to you for services performed in the 12 months preceding the claim, or (b) USD 100.

Some jurisdictions do not allow these limits; in those jurisdictions, our liability is limited to the greatest extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold harmless LeadAdvisors and its affiliates from claims, damages, costs, and expenses (including reasonable attorney fees) arising out of (a) your breach of these Terms, (b) your misuse of the Portal, or (c) content or information you submit.

12. Termination

You may stop using the Portal and close your account at any time by writing to legal@leadadvisors.net. We may suspend or terminate your access for any reason, including violation of these Terms, with or without notice. Sections that by their nature should survive termination (Submissions license, Intellectual property, No warranty, Limitation of liability, Indemnification, Governing law, Dispute resolution) survive.

13. Governing law and venue

These Terms are governed by the laws of the State of [Anthony to confirm: governing US state — typically Delaware for the entity, or the state of operations], USA, without regard to its conflict-of-law rules. Subject to §14, any dispute will be resolved exclusively in the state or federal courts located in [Anthony to confirm: county and state], and you consent to that venue and personal jurisdiction.

14. Dispute resolution

Before filing any formal action, the parties agree to attempt in good faith to resolve disputes by writing to legal@leadadvisors.net with a description and proposed resolution and allowing 30 days for response.

15. Severability

If any provision is held unenforceable, the rest of these Terms remains in full force.

16. No waiver

Our failure to enforce a provision is not a waiver of our right to do so later.

17. Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a corporate transaction.

18. Entire agreement

These Terms, the Privacy Policy, the Cookie Policy, and any signed engagement agreement together form the entire agreement between you and LeadAdvisors regarding the Portal. They supersede any prior or contemporaneous understanding.

19. Updates

We may revise these Terms. Material changes will be flagged in-portal or by email to active users. The "Last updated" date is authoritative. Continued use after the effective date is acceptance of the revised Terms.
